Sales Agreement​

1. Ownership and Use:
a. The products purchased from Rising Sun Security and Defence ("the Company") are intended solely for the use of the buyer, hereinafter referred to as "the Purchaser".
b. The Purchaser acknowledges that all products remain the exclusive property of the Company until payment in full has been received.

2. Restrictions on Resale:
a. The Purchaser shall not, without prior written consent from the Company, resell, transfer, or otherwise convey any purchased products to any third party.
b. Any attempt to transfer, export, or resell products without proper authorization shall constitute a breach of this agreement and may result in legal action.

3. Authorisation for Resale:
a. If the Purchaser intends to resell any Company products, they must obtain written permission from the Company. The Company may grant such permission at its sole discretion.
b. The Purchaser agrees to provide complete information about the intended resale, including the identity of the prospective buyer and the intended use of the products.

4. Prohibition of Reverse Engineering:
a. The Purchaser is expressly prohibited from reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code, design, or internal workings of any Company products.
b. Any such actions shall be considered a breach of this agreement and subject to legal action.

5. Intellectual Property Protection:
a. All intellectual property, including patents, trademarks, copyrights, and trade secrets related to Company products, shall remain the exclusive property of Rising Sun Security and Defence.
b. The Purchaser shall not replicate, reproduce, or modify any Company products or intellectual property without prior written consent from the Company.

6. Prohibition on Violation of Human Rights:
The Purchaser agrees that any products purchased from the Company shall not be used to violate human rights in accordance with Japanese or international law.

7. Sanctioned Parties:
a. The Purchaser agrees that no country, organisation, or individual sanctioned under the Financial Transactions Monitoring and Sanctions Act may use or purchase any products from the Company.
b. If it is discovered that a person under sanctions is the actual buyer of Company products, the sale will be terminated immediately without a refund.

8. Confidentiality:
a. The Purchaser agrees to keep all pricing, product specifications, and other proprietary information provided by the Company confidential.
b. Any breach of confidentiality may result in legal action and termination of the business relationship.

9. Consequences of Unauthorized Resale or Violation:
a. If the Purchaser is found to have engaged in unauthorised resale, reverse-engineering, or violation of any terms within this agreement, they shall be liable for a fine amounting to 20 times the original purchase price, with a minimum penalty of 10 billion USD.
b. The Company reserves the right to terminate any future business relationships with the Purchaser in the event of unauthorised activities.

10. Compliance with Applicable Laws:
a. The Purchaser shall comply with all applicable local, national, and international laws and regulations governing the purchase, sale, and use of military and defence-related products.
b. The Company shall not be held responsible for any illegal activities conducted by the Purchaser.

11. Governing Law and Jurisdiction:
a. This agreement shall be governed by and construed in accordance with Japanese law.
b. All disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the Business Court of the Tokyo District Court.

12. Modification of Terms Prior to Payment:
a. The Company reserves the right to modify these terms and conditions at any time until the Purchaser has made full payment for the products.
b. The Purchaser shall be notified of any changes in writing during the payment process.
c. Once full payment has been received by the Company, the sale becomes final and non-refundable, and no further modifications to the terms and conditions shall be applicable.

13. Entire Agreement:
These terms and conditions constitute the entire agreement between the Purchaser and Rising Sun Security and Defence, superseding any prior agreements or understandings, written or oral.

By making a purchase from Rising Sun Security and Defence, the Purchaser acknowledges and agrees to abide by these terms and conditions. Failure to comply with these terms may result in legal consequences, including substantial fines and the termination of the business relationship.

Invoicing
​

When determining the amount you need to pay for your order there are two components. The core cost and the administrative fee.

Core Cost:
The core cost is the actual cost to order and produce the equipment. This is set and cannot be modified by Rising Sun Security and Defence as it is determined by the manufacturer of the equipment.

Administrative Fee:
The administrative fee is the compensation for the expenses made by Rising Sun Security and Defence. These expenses include serving as middleperson between the buyer and seller, providing aftermarket servicing, international customer support and any government fees as well as the cost of personnel. In essence this covers every expense made by RSSD. There exist five tiers, a customer can be placed in a better tier based on how often they order from RSSD, payment behaviour, compliance with terms, and several other indicators kept secret to protect RSSD's proprietary algorithm. In the future a subscription service may be added to advance to a better tier. First-time customers will always start in tier 1. Customers who have violated the Sales Agreement but have not been banned from future business will be permanently be placed in tier 0. Once in tier 0 they can never advance to a higher tier.

Thank you for your order. Unfortunately at this moment in time we cannot offer you the Kongō-class Destroyer. Due to its inclusion of Aegis BMD technology the Ministry of Foreign Affairs has declared an export ban on the technology. As more than one international customer has expressed interest, at our insistence the government will seek American permission to export this technology, however as this has not yet been achieved we have no choice but to freeze that part of your order. I hope you understand. As compensation we will remove our administrative fee from the remainder of your order. I hope this setback will not prevent you from doing future business with Rising Sun Security and Defence, and if we do receive permission to export this technology in the future we will gladly fulfil the remainder of the order.

The invoice for the remainder of your order has been attached. We will produce them per your instructions and send each individual batch upon its completion. This may result in a minor delay as is unfortunately unavoidable with a repeated pause.
