This Agreement​ is secured by the guarantee and indemnity, provided by the borrower. The loan amount will be paid direct to the borrower's bank​ account — This is to prevent fraud. Upon receipt of the loan amount, the borrower is required to pay back the loan to Sparrow Investments,​ in accordance with any instructions they give. Once your loan has been accepted, this agreement will be legally binding​ ❏ We will provide the credit to you by way of Bank Transfer. The Amount of Credit will be transferred to you after we have received the​ signed Electronic agreement from you. This may include carrying out credit checks and verifying your identity and the information​ you've provided in your application​ ❏ The Fixed APR (30%) and the total amount payable have been calculated on the assumption that the Agreement remains valid for the​ full term. This interest is then added to your Loan Account on each calendar month, on the payment due date from the date this​ Agreement starts until the full balance owed to us has been recovered. This means that if the Monthly payment is not made on time,​ you will be charged additional arrears interest on any unpaid amounts, which will be calculated at the rate shown in this agreement​ ❏ Before the Credit is transferred, you give us consent to collect your Monthly Payments direct from your bank. This consent enables​ us to use this to collect each full Monthly Payment you owe us until it is paid. Where more than one payment is due, we will exercise​ the rights under the Banking Authority to collect the full arrears outstanding. Legal proceedings may be taken against you which​ could result in the debt being secured against any property you own​ ❏ The First Repayment is payable within 31 days of us transferring the credit to you. Each monthly installment is due and payable on the​ same day of each consecutive calendar month​ ❏ In the event of Sparrow Investments closing, we will exercise our right to collect the full arrears outstanding direct from your Bank Account. The amount payable will be retrieved no later than 2 days of any closure, regardless of your financial circumstances.​ ❏ We may terminate your Loan Agreement and require you to pay all sums payable early, if any of the following happen:​ Your Circumstances change during the length of this Agreement, that may impact your ability to repay the credit owed to us​ Your Circumstances change in a way which affects our decision to lend to you, i.e Breaching international law or involved in crime​ We're required to do this, because of any Legal or Regulatory requirement by a recognised international body​ Without notice, we will exercise our right to collect the full arrears outstanding direct from your Bank Account​ ❏ You have the right, at any time to make an over-payment to reduce the money you owe us under this Agreement. If you decide to​ make an over-payment, you must notify us by calling the Early Repayment line above — This is a 24 Hour Service. The amount you​ owe us will be used to reduce the length of this Loan Agreement​ ❏ You have the right to withdraw from this Agreement without having to give reason. This right commences on the day on which the​ Agreement is made and continues for 5 days. To withdraw, you must notify us by calling the Withdrawal line above. Once you have​ notified us, you cannot change your mind and the amount payable will be retrieved no later than 2 days of your notice to withdraw​ There is an additional Withdrawal Fee of $100,000,000, which will be recovered with the amount owed to us​ ❏ You have the right to Early Settlement, which can be made by contacting us. We will provide you with a Settlement quote​ Your Settlement Quote is valid for 5 days from the date you request it, and will include all interest up to and including the date the​ quotation expires. As you're settling your Agreement early, a fee of $250,000,000 will be recovered with the amount owed to us​ ❏ By entering into this Loan Agreement, you agree that your dealings with us before and after you take out this loan will be governed by​ the International Court of Justice, who will have exclusive jurisdiction to settle any disputes or claims arising out of or in connection​ with this Agreement. You consent to us communicating with you and sending you Documents, including statutory notices by SMS,​ Email or Post. You warrant that the information in this Application and contained in this agreement is true and accurate​ ❏ During this Agreement, you can request, free of charge, a statement of your Loan Account which shows the due date and the amount of​ all future monthly payments you owe us. This Statement will also show the amount of interest which is due to be charged, and if applicable,​ any other outstanding fees. To be eligible, the Goods must be in the same condition that​ the Buyer receives it. All Returns must include any Accessories, and Documentation that was shipped with the Goods. The Buyer is​ responsible for paying the Return Shipping Charge $100,000,000 that is not related to a defective product. Sale items cannot be refunded​ ❏ Payment of the Price, Plus VAT and other applicable costs shall be due within 5 days of the date of receipt of the invoice​ ❏ The Seller reserves the right to suspend delivery of any order of Goods to any Buyer who is in default of the Seller's payment terms​ ❏ Interest on overdue invoices shall accrue from the date when Payment was due to the date of actual Payment at a rate of 5% Per annum​ ❏ Photographs, specifications or drawings of the Goods issued by Seller in any Catalogue or Website are for illustrative purposes only​ ❏ The Seller reserves the right to make any changes to the Specification of Goods, which are required to confirm with any Statutory or​ Regulatory requirement, and which do not materially affect their quality or performance​ ❏ If any Purchase Order is cancelled, the Seller reserves the right to make a charge for work already carried out​ ❏ Title to the Goods shall not pass to the Buyer until the Seller has been paid in full in cash or in cleared funds for the Goods​ ❏ Until ownership of the Goods has passed to the Buyer, the Buyer shall:​ Store the Goods separately from all other goods, in such a way as they remain identifiable as the Seller's property​ Not destroy, deface or obscure any identifying mark or packaging on or relating to the Goods​ Maintain the Goods in satisfactory condition​ ❏ The Buyer's right to possession of Goods shall terminate automatically and immediately if the Buyer ceases to trade, becomes insolvent or​ unable to pay its debts, or shall enter into liquidation whether voluntarily or compulsorily​ ❏ Neither Party shall be liable for any delay or failure to perform any of its obligations, if the delay or failure results from events​ or circumstances outside its reasonable control, including but not limited to Strikes, Lock outs, Accidents, War, Flooding,​ Fires, Explosions or unavailability of Raw Materials and the party shall be entitled to a reasonable extension​ ❏ These Conditions shall be governed by and construed in accordance with the International Law, and parties hereby submit​ to the exclusive jurisdiction of the International Courts of Justice​ ❏ The Seller warrants that on delivery, and for a period of 12 Months the Goods shall confirm in all Material Respects​ with their Description and Specifications, and be free from all Defects in material and Workmanship​ ❏ Subject to the Buyer giving notice in writing to the Seller during the Warranty Period within a reasonable time of discovery​ And the Supplier is given a reasonable opportunity of examining such Goods, and the Buyer returns such Goods to the place of business​ at their own cost. The Seller shall, at it's option, repair or replace the Defective Goods​ ❏ The Goods acquired are solely for the Buyer intending to use them and will not Resell, Transfer, Exchange, Disassemble or otherwise Auction​ the Goods without obtaining written consent by the Seller, which consent may be granted or withheld in its sole discretion​ ❏ All Proprietary information of the Seller, including but not limited to Specifications, Samples, Designs, Plans, Documents and Data​ related to the Goods or Business in connection with the Agreement is confidential and may not be disclosed or copied​ ❏ Sparrow Safeguarding will keep Client Records in an Encrypted Database, for an indefinite period​ Sensitive information may be accessed by a Third Party, only when there is a "Lawful basis" to do so​ ❏ It is the responsibility of the Buyer to ascertain and obey all applicable Local, State, and International Laws in regards​ to the possession and use of any Goods purchased from Sparrow Safeguarding. All Products are sold under the condition that we, the Seller​ shall not be liable in any action or injury occasioned during the Transportation, Handling, Storage or use of the Goods.​ By placing an order, the Buyer represent the Goods ordered will be used in a manner that is legal.
