Dear whom it may concern,

In support of the sale of four S-300 batteries to Portugal, the Ministry of National Defense has instructed my office to extend the following additional terms to be incorporated into the terms and conditions for Portugal's purchase.

  1. Confidentiality Clause:
    • The S-300V air defense system, including all associated technical specifications, documentation, and related information ("Technology"), shall be deemed confidential and proprietary to Rosoboronexport.
    • Portugal agrees to maintain the confidentiality of the Technology and shall not disclose, divulge, or make available any part thereof to any third party without the prior written consent of Rosoboronexport.
  2. Restricted Use:
    • Portugal agrees to use the S-300V air defense system solely for its intended purpose of national defense and security and shall not engage in any activities that may compromise the integrity or security of the system in unnecessary exercises or with foreign forces present.
  3. Restricted Access:
    • Portugal shall limit access to the S-300V air defense system and associated documentation to authorized personnel who have undergone appropriate security clearance procedures and are bound by confidentiality obligations.
  4. Geographic Restrictions:
    • Portugal acknowledges that the deployment and operation of the S-300V air defense system may be subject to geographic restrictions or export control regulations, and agrees to comply with all applicable laws and regulations in this regard.
      • Those geographic restrictions include The Middle East, Eastern Europe, Scandinavia, the United Kingdom, and the United States.
        • Wherein Portugal requires the deployment of the S-300V for the defense of its national interests, a waiver may be obtained by Rosoboronexport to deploy to a restricted zone.
  5. Term and Termination:
    • This agreement shall remain in effect for the duration of Portugal's use of the S-300V air defense system, unless terminated earlier by mutual agreement or in accordance with the provisions herein. Upon termination, Portugal shall promptly return the S-300V system and destroy all confidential information and materials provided by Rosoboronexport for operating the system.
  6. Indemnification:
    • Portugal agrees to indemnify and hold Rosoboronexport harmless from any claims, liabilities, or damages arising out of Portugal's breach of this agreement, including but not limited to unauthorized disclosure, misuse, or misappropriation of the Technology.
  7. Assignment and Subcontracting:
    • Portugal shall not assign, transfer, or subcontract its rights or obligations under this agreement without the prior written consent of Rosoboronexport.
  8. Audit Rights:
    • Rosoboronexport reserves the right to conduct periodic audits to verify Portugal's compliance with the terms of this agreement, including but not limited to access to facilities and records relevant to the use and security of the S-300V air defense system.

We appreciate Portugal's continued business and hope that we may find an amicable solution to allow for the sale of the S-300V system and future upgrades and iterations. I hope this arrangement is appropriate and that we may agree to the sale. If this is acceptable to you please continue with the wire transfer as usual.
