Terms of Service
Nationales Konsortium für Marineexporte (NKfM) will not, nor does it possess the rights to sell any shares of any German company. It also does not have the authority to sell or provide domestic production rights of German equipment. For any such transactions, please contact the German government for authorization.
Nationales Konsortium für Marineexporte does not claim credit for how the equipment sold is utilized. The intention behind all product sales is that they are used exclusively for deterrence, humanitarian, and defensive purposes, remaining in compliance with international law and GA charters.
By utilizing the provided equipment, the user expressly consents to investigations conducted by the German Federal Government regarding the use of said equipment. Such investigations may include inquiries into compliance with applicable laws, regulations, and international agreements governing the use of German equipment.
The user acknowledges and agrees that this consent extends to providing relevant information, records, and cooperation with government authorities during any investigation. The purpose of these investigations is to ensure that the use of the equipment aligns with the intended purposes stated in this agreement, such as deterrence, humanitarian, and defensive activities, and complies with all relevant legal and regulatory requirements.
Purchasers engaging in transactions with Nationales Konsortium für Marineexporte cannot resell, trade/exchange, or donate/give away purchased equipment to third parties without express permission from Nationales Konsortium für Marineexporte or a letter of affirmative support from the German Federal Government.
For the purposes of the terms and conditions the term resell shall include any actions which allow for a party which is not the purchaser of the equipment to use the equipment.
Purchasers are prohibited from upgrading purchased equipment or utilizing it for their own technological engineering without explicit permission from Nationales Konsortium für Marineexporte.
Nationales Konsortium für Marineexporte reserves the right to deny any purchase without providing a reason. The consortium also holds the authority to alter listed prices and products at any given moment, reflecting the dynamic nature of the defense industry.
Maintenance licenses may be withdrawn by Nationales Konsortium für Marineexporte if the sold products are used for actions against Germany and its allies or if the equipment is employed in ways contrary to GA charters.
Nationales Konsortium für Marineexporte retains the right to withhold payment and deny the delivery of purchased equipment if the terms of service are breached by the client.
The transfer of funds by the purchaser, as stipulated in the agreed-upon payment terms, shall be deemed as an offer to enter into this agreement, thereby signifying the purchaser's acceptance of the terms and conditions outlined herein. Upon receipt of the transferred funds, the consortium reserves the right to review the terms of the offer. The act of transferring money constitutes the initiation of the offer, and the consortium retains the discretion to either accept or reject this offer based on a comprehensive assessment of the specified terms.
The sale price listed is subject to potential additional costs, which may be incurred based on specific tax requirements. Parties involved in the transaction acknowledge that the final price may be adjusted to accommodate any applicable taxes or duties mandated by relevant authorities. The exact amount of such additional costs will be determined in accordance with the specific tax regulations applicable to the transaction. This provision aims to inform the parties that the final cost may be influenced by tax considerations, ensuring transparency in the pricing arrangement.
The purchaser agrees to indemnify, defend, and hold harmless NKfM, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, demands, losses, liabilities, expenses, damages, and costs, including reasonable attorney's fees, arising out of or in connection with any breach of this agreement, negligent acts or omissions, or willful misconduct by the Purchaser.
It is imperative for all parties engaging with Nationales Konsortium für Marineexporte to be cognizant of these stipulations, underscoring the consortium's commitment to responsible and ethical practices in the international defense trade arena.
The parties acknowledge that certain weapons platforms supplied under this agreement may necessitate additional commitments and provisions when utilized in training exercises or combat scenarios.
For these specific weapons platforms, a separate agreement may be required to outline the terms, conditions, and obligations associated with their use during training exercises or in combat situations.
The purchaser will be duly informed of the requirement for a separate agreement related to the specific weapons platforms before the completion of this agreement. This notification will include details regarding the additional provisions, commitments, and any impact on the terms of use.
In the event of a dispute arising from any transactions or the terms of services, such disputes shall be resolved in Germany under German Commercial Law. Both parties hereby consent to the exclusive jurisdiction of the competent courts in Germany for the resolution of any such disputes.
The arbitration proceedings shall be conducted in accordance with the rules of the German Institution of Arbitration (Deutsche Institution für Schiedsgerichtsbarkeit e.V. - DIS) by one or more arbitrators appointed in accordance with said rules.
The language of the arbitration shall be English, and the arbitral award shall be final and binding upon both parties. The prevailing party shall be entitled to recover its reasonable attorney's fees and costs incurred in connection with the arbitration.
