Dear Secretary,

I have discussed this internally and unfortunately we are not in the position to be able to commit to an export of the Invincible-class Aircraft Carrier due to its status within the Royal Navy as a declared asset. Although this may be disappointing, we would be able to authorise the sale of just Harrier Jump Jets but I suspect this may be reconsidered due to their main use been from an aircraft carrier. One alternative option could be to form a joint UK-POR Air Wing to operate from one of our carriers in the form of a cooperation agreement if this is of any interest.

Alternatively, we would be happy to commit to exporting the Harrier depending on your operation requirements in the news that the Invincible-class is not available to be sold.

I appreciate your prompt and thorough response regarding the potential acquisition of the Invincible-class Aircraft Carrier and Harrier Jump Jets. While it is indeed disappointing to learn that the Invincible-class Aircraft Carrier is not available for export due to its status as a declared asset within the Royal Navy, I understand the constraints. Given that the acquisition of the Harrier Jump Jets was contingent upon their deployment from an aircraft carrier, this option does not align with our current operational needs. Therefore, we would like to explore an alternative proposal.

We are interested in the procurement of Panavia Tornado IDS aircraft as a suitable alternative to the Harriers. Specifically, we propose the acquisition of 120 Panavia Tornado IDS aircraft, to be delivered in batches of 30 aircraft, with each batch produced in Portugal. The Portuguese government would support the costs of production, while the profits from the sale would be transferred to the UK.

To facilitate this, we propose the following:

  1. Delivery Schedule: The aircraft will be delivered in four batches, with 30 aircraft in each batch.
  2. Production and Manufacturing: We suggest establishing a manufacturing facility in Beja, Portugal, as an investment in the future of Portuguese defense capabilities. This facility could be managed by Nexus or another designated UK entity.
  3. Financial Arrangements: Payments for the aircraft would be made per batch, ensuring a structured and manageable financial commitment for both parties.
  4. Future Purchases and Collaboration: We envision this facility serving as a hub for future purchases and potential collaborative projects between the UK and Portugal, enhancing our strategic partnership.
We believe that this proposal not only meets our immediate operational requirements but also strengthens the industrial and defense ties between our nations. Additionally, the establishment of a manufacturing facility in Portugal would contribute significantly to local economic development and provide a robust platform for future defense collaborations utilizing Portuguese knowhow

I have reviewed your requirements further and have attached a contract of sale for your request. To summarise, this includes:

- The Sale of 120 Tornado ADV F3. Although differing to your request for an IDS, the ADV is more advanced but carries out the same role. The IDS is no longer manufactured.

- The contract stipulates the batches in which payment is made per batch with the exception of the first one as we will require the first instalment before we can begin manufacturing.

- A manufacturing licence is included.

Portuguese Tornado ADV F3 Acquisition

This Contract (hereinafter referred to as the "Agreement") is entered into on OCTOBER 2004 (the "Effective Date"), between Nexus Defence (hereinafter referred to as the "Seller") and the Portuguese Republic (hereinafter referred to as the "Buyer").

WHEREAS, the Buyer intends to procure military vehicles as part of the Portuguese Tornado ADV F3 Acquisition; and

WHEREAS, the Seller possesses the necessary capabilities and resources to supply the required vehicles and associated services;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. DESCRIPTION OF GOODS

1.1 The Seller agrees to sell, and the Buyer agrees to purchase, the following goods:

a) 120 units of Panavia Tornado ADV F3 (hereinafter referred to as "Tornado"), which are designed for military operations.​

1.2 The Seller shall provide parts to the Buyer for the Panavia Tornado ADV F3, which shall allow the facilitation of regular inspections, servicing, repairs, and technical support.
2. FINANCIAL PLAN

2.1 The total gross amount payable by the Buyer for the goods mentioned in Section 1.1 shall be $6,165,254,088.00 (hereinafter referred to as the "Gross Amount").

2.2 The Gross Amount shall be paid over 4 instalments, as per the agreed finance plan.

2.3 The first payment of $1,541,313,522 shall be made before the first batch of 30 is manufactured.

2.4 The second payment of $1,541,313,522 shall be made after the second batch of 30 is delivered.

2.5 The third payment of $1,541,313,522 shall be made after the third batch of 30 is delivered.

2.6 The final payment of $1,541,313,522 shall be made after the fourth batch of 30 is delivered.

2.7 Ownership of the goods shall remain with the Seller until the Gross Amount is fully paid by the Buyer.

2.6 Failure to make timely payments may result in penalties or delays in the delivery of the Goods.
3. DELIVERIES

4.1 The Seller warrants that, at the time of delivery, the goods shall conform to the agreed specifications and be free from defects in materials and workmanship.

4.2 The Seller shall begin delivery of Goods to the Buyer once the initial payment has been received.

4.3 Failure to make timely deliveries may result in penalties.
4. LIABILITY

7.1 The Seller's liability under this Agreement shall be limited to the Gross Amount paid by the Buyer for the Goods.

7.2 The Seller shall not be liable for any indirect, consequential, or incidental damages arising out of or in connection with the Agreement, including but not limited to loss of profits, loss of data, or loss of use.​

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
