This Terms of Sale Agreement (“Agreement”) sets out the terms and conditions under which European Aeronautics, Defence, and Space Company (“EADS,” “we,” “our,” or “us”) sells goods and services to its customers (“Customer,” “you,” or “your”). By placing an order with us, you agree to these terms.
1.2 Services: Includes maintenance, training, consulting, and other services provided by EADS.
1.3 Order: A formal request made by the Customer to purchase Goods or Services.
2.2 Amendments: Changes to an Order must be agreed in writing by both parties.
3.2 Payment Terms: Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing.
3.3 Late Payments: Interest on overdue payments will accrue at a rate of 2% per month or the maximum rate permitted by law, whichever is lower.
4.2 Risk and Title: Risk of loss or damage passes to the Customer upon delivery. Title to Goods remains with EADS until full payment is received.
5.2 Resale Restrictions: The Customer may not resell, transfer, or otherwise distribute Goods without prior written permission from EADS.
6.2 Prohibited Use: Goods may not be used for purposes contrary to applicable laws, including violation of international sanctions or for unlawful activities.
7.2 Intellectual Property: All intellectual property rights associated with the Goods and Services remain the exclusive property of EADS or its licensors.
8.2 Exclusions: Except as expressly provided, EADS disclaims all other warranties, including implied warranties of merchantability or fitness for a particular purpose.
8.3 Liability: EADS’s liability is limited to the value of the Goods or Services supplied. EADS is not liable for indirect, consequential, or incidental damages.
9.2 Termination by the Customer: You may cancel an Order before dispatch, subject to cancellation fees.
11.2 Dispute Resolution: Any disputes shall be resolved through negotiation in good faith. Failing that, disputes will be submitted to the exclusive jurisdiction of the courts of France.
By placing an order with EADS, the Customer agrees to abide by these terms.
1. Definitions
1.1 Goods: Refers to all products, including but not limited to aerospace systems, defence equipment, weapons, and related components sold by EADS.1.2 Services: Includes maintenance, training, consulting, and other services provided by EADS.
1.3 Order: A formal request made by the Customer to purchase Goods or Services.
2. Orders
2.1 Acceptance: All Orders are subject to written confirmation from EADS. We reserve the right to reject Orders for any reason.2.2 Amendments: Changes to an Order must be agreed in writing by both parties.
3. Pricing and Payment
3.1 Prices: All prices are provided in francs and include VAT and any applicable taxes, unless stated otherwise.3.2 Payment Terms: Payment must be made within 30 days of the invoice date, unless otherwise agreed in writing.
3.3 Late Payments: Interest on overdue payments will accrue at a rate of 2% per month or the maximum rate permitted by law, whichever is lower.
4. Delivery
4.1 Schedule: Delivery times are estimates only. EADS will not be liable for delays caused by factors beyond its control.4.2 Risk and Title: Risk of loss or damage passes to the Customer upon delivery. Title to Goods remains with EADS until full payment is received.
5. Use, Resale, and Compliance
5.1 Authorised Use: All Goods must be used in strict compliance with the Global Assembly Charter, its resolutions, and other sources of international law.5.2 Resale Restrictions: The Customer may not resell, transfer, or otherwise distribute Goods without prior written permission from EADS.
6. Export Controls and Compliance
6.1 Regulatory Compliance: The Customer acknowledges that Goods may be subject to export control laws and regulations. The Customer agrees to comply with all applicable laws, including obtaining any necessary licences or authorisations.6.2 Prohibited Use: Goods may not be used for purposes contrary to applicable laws, including violation of international sanctions or for unlawful activities.
7. Prohibition on Reverse Engineering and Similar Practices
7.1 No Reverse Engineering: The Customer agrees not to reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code, structure, or composition of the Goods.7.2 Intellectual Property: All intellectual property rights associated with the Goods and Services remain the exclusive property of EADS or its licensors.
8. Warranties and Limitation of Liability
8.1 Warranties: EADS warrants that Goods will conform to agreed specifications at the time of delivery.8.2 Exclusions: Except as expressly provided, EADS disclaims all other warranties, including implied warranties of merchantability or fitness for a particular purpose.
8.3 Liability: EADS’s liability is limited to the value of the Goods or Services supplied. EADS is not liable for indirect, consequential, or incidental damages.
9. Termination
9.1 Termination by EADS: We may terminate the Agreement if the Customer breaches its terms or becomes insolvent.9.2 Termination by the Customer: You may cancel an Order before dispatch, subject to cancellation fees.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of business, except as required by law or agreed in writing.11. Governing Law and Dispute Resolution
11.1 Governing Law: This Agreement is governed by the laws of France.11.2 Dispute Resolution: Any disputes shall be resolved through negotiation in good faith. Failing that, disputes will be submitted to the exclusive jurisdiction of the courts of France.
12. Force Majeure
EADS is not liable for failure to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, war, strikes, or government restrictions.13. Entire Agreement
This Agreement constitutes the entire agreement between EADS and the Customer regarding the sale of Goods and Services and supersedes all prior agreements or understandings.By placing an order with EADS, the Customer agrees to abide by these terms.
