1. Export Restrictions and Authorized Use
  • The vessel must not be transferred, leased, or sold to third-party nations or entities without explicit, written, official, and recorded approval from the Joint Defense Committee of Thailand. Unauthorized transfer voids the contract and imposes penalties of 150% of the purchase value.
  • Usage is restricted to defensive operations and humanitarian missions. Offensive deployment outside sovereign waters (territorial water and continuous zone) requires pre-clearance from Thailand’s National Assembly.
2. Intellectual Property and Technology Safeguards
  • All proprietary systems (combat, navigation, and communications) remain the intellectual property of the original inventor and operator, whether within or outside Thailand. Unauthorized reverse-engineering, duplication, or transfer of technologies is strictly prohibited.
  • In the event of contract breach, Thailand retains the right to receive retribution of 200% of the original purchase value, in which the purchaser (India) shall

  • The buyer agrees to maintain operations in full compliance with international environmental standards and Thailand’s Environmental and Social Impact Regulations.
  • A $2,500,000 non-compliance bond is retained by the contractor to cover environmental restoration or social reparations if the buyer fails to meet impact reduction requirements.
4. Maintenance and Upgrade Clauses
  • All maintenance, upgrades, and retrofits must be conducted by the Pridi Banomyong Shipping Cooperative or certified contractors approved by Thailand. Unauthorized modifications will void the warranty and service agreements.
  • Mandatory inspections are required every two years, with the results shared with Thailand’s Maritime Technology Oversight Board.
5. Dispute Resolution and Sovereign Immunity Waiver
  • Any disputes will be resolved through binding arbitration under the Bangkok International Arbitration Center (BIAC).
  • Buyer waives sovereign immunity in cases of non-compliance with these terms, allowing Thailand to seek legal or economic redress in international courts.
6. Termination and Force Majeure
  • Thailand reserves the right to terminate the contract if the buyer engages in actions that undermine workers’ right, human rights, or environmental integrity.
  • In the event of force majeure, the parties agree to negotiate an equitable resolution, prioritizing mission continuity and mutual interests.
